The terms you agree to when you use Swords Live

1. These Terms

For these Terms, “HTC” means HTC How To Company XYZ Limited, the legal entity that owns and operates Swords Live and MapClick.

“Swords Live” and “MapClick” are services, products, technology and trading names operated by HTC. They are not separate legal entities.

Where these Terms refer to Swords Live or MapClick, the relevant rights, obligations, protections and limitations are those of HTC, unless expressly stated otherwise.

The “Service” means Swords Live, MapClick and the services, maps, data, tools, APIs, contributions, AI features and other functionality made available by HTC.

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These are HTC’s standard terms. They are not changed by conversations, correspondence or informal statements. A different term applies only where HTC has expressly agreed to it in writing.

Nothing in these Terms removes any right that cannot lawfully be excluded.

2. What Swords Live Is

Swords Live brings together information about real places, services, objects and activity.

That information may come from:

  • HTC and MapClick;
  • users and contributors;
  • public bodies and open datasets;
  • transport operators and other service providers;
  • sensors, feeds and external systems;
  • calculations, models and inferences;
  • AI and automated processing.

Swords Live is designed to bring useful and current information to the surface. Different sources update at different times and information can be incomplete, delayed, disputed, superseded or wrong.

Unless expressly stated otherwise, Swords Live is not an official service of a council, transport operator, public authority or other data source, and displaying their information does not imply their endorsement of Swords Live.

Swords Live is not an emergency service and must not be used as one.

3. Using the Service

You may use the Service for your own lawful personal, community, educational, professional or internal business purposes.

This permission does not grant a right to commercially exploit Swords Live, MapClick, their databases, Derived Outputs or their data.

Unless HTC has expressly authorised the use or granted a separate commercial licence, you may not:

  • sell, license, sublicense or commercially redistribute Swords Live or MapClick data;
  • incorporate Swords Live or MapClick data, Derived Outputs or APIs into a product or service supplied to others;
  • systematically extract or collect data for commercial exploitation;
  • use Swords Live or MapClick as a data source for a commercial database, analytics product, AI system or other commercial information service;
  • commercially reproduce, republish or syndicate substantial parts of the Service;
  • provide paid access to information or functionality obtained from the Service;
  • use the Service or its data to create, train or improve a competing or substitute product, dataset, model or service; or
  • represent that HTC has licensed, approved or endorsed a commercial use where it has not.

Commercial licences, data access and API rights may be made available separately by HTC.

For clarity, merely using Swords Live in the course of your work or business — for example, viewing transport information, checking a map or consulting publicly displayed information — is not prohibited commercial exploitation.

You may also not:

  • scrape, crawl, harvest, extract, download or systematically collect data from Swords Live or MapClick by automated means, whether in one operation or through repeated extraction of smaller amounts, except through an API or other method expressly authorised by HTC;
  • interfere with, damage or attempt to gain unauthorised access to the Service;
  • bypass security, access controls, rate limits or technical restrictions;
  • impersonate another person or misrepresent your authority;
  • knowingly submit false, fraudulent, unlawful, defamatory or misleading material;
  • submit material that infringes another person’s rights;
  • use automated systems in a way that places an unreasonable load on the Service; or
  • reverse engineer software except where applicable law expressly permits it.

Normal search-engine indexing and ordinary use of the Service are not prohibited.

Except for the limited rights expressly granted by these Terms, no licence or other right in Swords Live, MapClick, their databases, APIs, software, Derived Outputs or intellectual property is granted or implied.

4. Accounts

Some features require an account.

You are responsible for:

  • providing accurate account information;
  • keeping your login credentials secure; and
  • activity carried out through your account.

HTC may restrict or suspend an account where reasonably necessary to protect the Service, investigate misuse, comply with law or enforce these Terms.

5. Your Contributions

A “Contribution” includes anything you submit to Swords Live or MapClick, including text, photographs, audio, video, observations, reports, sightings, corrections, metadata and other information.

You keep ownership

You retain ownership of any intellectual property rights you have in your original Contribution.

Submitting something to Swords Live does not transfer ownership of your original photograph, writing or other original material to HTC.

You give HTC a broad licence

By contributing, you grant HTC a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use your Contribution in connection with Swords Live, MapClick and HTC’s related technology and services.

That licence includes the right to:

  • host, store, copy and reproduce it;
  • publish, display and distribute it;
  • crop, resize, format, edit, translate or otherwise adapt it;
  • verify, review and moderate it;
  • combine it with other information;
  • analyse it and extract information or features from it;
  • index it and generate embeddings or other machine representations;
  • use it in search, retrieval and recommendation systems;
  • create summaries, classifications, relationships, resolved records and other derived information;
  • use it to develop, test, evaluate and improve Swords Live, MapClick and their AI and machine-learning systems; and
  • use reasonable extracts or representations of it to explain or promote Swords Live and MapClick.

HTC may exercise these rights itself or through suppliers and service providers acting for it.

You do not receive royalties or other payment merely because your Contribution is used in this way.

You confirm that you have the rights necessary to submit your Contribution and grant this licence.

To the extent permitted by law, you consent to the editing, formatting, adaptation and other uses permitted by this licence and agree not to assert moral rights in a manner that prevents those permitted uses.

The licence continues for the duration of the applicable intellectual property rights, subject to applicable law.

HTC does not have to publish or retain a Contribution.

The record may outlive the account

A Contribution to a public, civic, operational or historical record may remain after an account is closed or the original material is removed where reasonably necessary to preserve provenance, audit history, database integrity, legal records, backups or Derived Outputs already created from it.

Removal of a Contribution does not require HTC to remove copies or information already incorporated into records, backups, Derived Outputs, models, audit history or other material lawfully created before removal.

This does not limit rights you may have under data-protection law.

6. MapClick Data and Derived Intelligence

There is an important distinction between source material and what MapClick creates from it.

Your original Contribution remains yours.

Third-party data remains subject to the rights and licences applying to that source.

HTC owns, or has the applicable rights in, Swords Live, MapClick and the systems, software, databases, structure, selection, organisation, interfaces and intellectual property created by HTC.

To the extent rights arise in them, HTC also owns the “Derived Outputs” created by or for MapClick.

Derived Outputs may include:

  • embeddings and vector representations;
  • indexes;
  • classifications and taxonomies;
  • resolved POI records;
  • inferred relationships;
  • provenance and confidence information;
  • rankings and scores;
  • aggregates and statistics;
  • machine-generated metadata and summaries;
  • analytical outputs;
  • training and evaluation artefacts;
  • models, model adaptations and model weights;
  • learned patterns; and
  • other computational outputs produced through operation of the Service.

HTC may use, develop, license and commercialise those Derived Outputs, subject to applicable law and any rights applying to underlying source data.

Creating a Derived Output does not give HTC ownership of your original Contribution or alter the ownership of third-party source material.

Likewise, ownership of an original Contribution does not give its contributor ownership of MapClick, its databases, models, embeddings or other Derived Outputs.

7. AI, Predictions and Inferences

Some Swords Live and MapClick information is generated or enhanced using software models, AI, machine learning, statistical processing or other automated methods.

These outputs are computed information, not independent verification of the underlying facts.

AI and automated systems can make mistakes.

An AI response, prediction, classification, ETA, inferred relationship, generated description or similar output should therefore be understood in the context of its underlying sources and provenance.

HTC may change the models, methods, prompts, algorithms and suppliers used to produce these outputs.

8. Accuracy and Reliance

HTC takes reasonable steps to make Swords Live useful, but does not promise that every item will always be accurate, complete, current or continuously available.

In particular:

  • live transport positions and arrival estimates can be delayed or wrong;
  • weather and environmental information can change and may be modelled;
  • planning, property and public records may be incomplete or subsequently corrected;
  • user Contributions may contain mistakes;
  • third-party feeds may fail or change;
  • AI and inferred information may be incorrect.

Where Swords Live or MapClick identifies a source, timestamp, contributor, status or provenance, that information forms part of the record and should be considered with it.

The Service does not replace an authoritative source where an authoritative record is legally or practically required.

Information provided through the Service is not legal, financial, medical or other regulated professional advice.

9. Moderation

HTC may review Contributions using human or automated systems.

HTC may refuse, restrict, label, correct, archive or remove material, or restrict an account, where it reasonably believes this is necessary because of:

  • illegality;
  • infringement of rights;
  • fraud or deliberate misinformation;
  • harassment, abuse or harmful material;
  • privacy or security;
  • these Terms;
  • platform integrity; or
  • a legal or regulatory obligation.

HTC may preserve removed material where reasonably required for security, evidence, legal compliance, provenance or audit purposes.

Where applicable law requires HTC to provide a reason, notice or review mechanism for a moderation decision, HTC will do so.

Suspected illegal material may be reported to info@swordslive.ie with enough information to identify the material concerned.

10. External Data and Services

Swords Live and MapClick depend partly on information and services supplied by third parties.

HTC does not control those sources and is not responsible for their continued availability, accuracy or decisions.

A third party may change, withdraw or correct its information at any time.

Links to external websites and inclusion of third-party data do not mean HTC endorses or controls those services.

Third-party data remains subject to any applicable source terms, licences and rights.

11. Availability and Changes

Swords Live and MapClick are evolving services and technologies.

HTC may add, change, replace or remove features, datasets, models, interfaces or integrations.

HTC may also suspend part or all of the Service for maintenance, security, legal, operational or technical reasons.

HTC does not promise uninterrupted availability.

HTC may update these Terms where the Service, technology, law or operating model changes. The current version and effective date will be published with the Terms.

Where a change materially affects a user’s rights or obligations, HTC will provide any notice or consent required by law.

12. Liability

Nothing in these Terms excludes or limits liability, remedies or consumer rights where doing so would be unlawful.

Subject to that:

HTC is not responsible for loss caused solely by inaccurate, delayed or unavailable third-party data, user Contributions, external services or circumstances outside HTC’s reasonable control.

HTC is not responsible for indirect or consequential losses that were not reasonably foreseeable from use of the Service.

Business and professional users

If you use the Service wholly or mainly for business, trade or professional purposes, then to the maximum extent permitted by law:

  • the Service is provided on an “as available” basis;
  • HTC excludes warranties and terms that may lawfully be excluded;
  • HTC is not liable for lost profit, revenue, business, opportunity, goodwill or anticipated savings; and
  • HTC’s total aggregate liability arising from the Service will not exceed the greater of €100 or the amount you paid HTC for the relevant Service during the previous 12 months.

A business or professional user will indemnify HTC against third-party claims, losses and reasonable costs arising from:

  • that user’s unlawful Contributions;
  • infringement of third-party rights by that user;
  • unauthorised commercial exploitation of the Service; or
  • that user’s deliberate breach of these Terms.

HTC is the sole contracting party

HTC is the sole contracting party in relation to Swords Live, MapClick and the Service.

No shareholder, director, officer, founder, employee, agent, contractor or contributor of HTC assumes any personal contractual obligation or liability to a user merely by:

  • acting for HTC;
  • representing HTC;
  • developing or operating Swords Live or MapClick;
  • communicating on behalf of HTC, Swords Live or MapClick; or
  • carrying out duties or activities for the Service.

Nothing communicated through the Service creates a personal guarantee, warranty or undertaking by any such person unless that person expressly gives it in writing in their personal capacity.

Any rights, obligations, liabilities, protections or limitations arising from use of Swords Live or MapClick are rights, obligations, liabilities, protections or limitations of HTC, except where applicable law expressly provides otherwise.

13. Ending Access

You may stop using the Service at any time.

HTC may suspend or end access where reasonably necessary because of a serious or repeated breach of these Terms, unlawful activity, security risk, abuse of the Service or a legal requirement.

HTC may discontinue Swords Live, MapClick or any part of the Service.

Sections dealing with ownership, licences, historical records, Derived Outputs, commercial restrictions and liability continue to apply where their nature requires them to survive.

14. Transfer or Separation of the Service

HTC may transfer, assign or novate Swords Live, MapClick, any part of the Service, or its rights and obligations under these Terms to an affiliate, successor or purchaser as part of a sale, restructuring, financing or transfer of the relevant business or assets.

This may include transferring Swords Live or MapClick to a separate company.

Where necessary to give effect to such a transfer, the rights and licences granted to HTC under these Terms may be transferred or sublicensed with the relevant business or assets.

Any such transfer will not reduce mandatory rights or protections available to consumers.

15. General Terms

If part of these Terms cannot legally be enforced, the remaining terms continue to apply.

A failure by HTC to enforce a term on one occasion does not waive that term.

For business and professional users, these Terms and any separate written agreement expressly entered into by HTC constitute the agreement governing use of the Service.

16. Irish Law

These Terms are governed by Irish law.

If you are a consumer, nothing in these Terms affects mandatory rights you have under applicable consumer law, including rights concerning where proceedings may be brought.

For users acting wholly in the course of business, trade or profession, the courts of Ireland have exclusive jurisdiction over disputes arising from these Terms or the Service.
